A Global Building Materials Powerhouse

Ambuja Cements, part of the Adani portfolio, is the world’s ninth-largest building materials and solutions company. It is also among four largescale cement companies globally to have its Net Zero and Near-Term targets validated by the Science Based Targets initiative (SBTi) and the first in the Indian cement industry to become a TNFD adopter. This positions the Company to build leadership over the next few years as consolidation, integration and operational stabilisation continues. With a current capacity of 109 MTPA and a targeted capacity of 119 MTPA by FY 2026-27, Ambuja continues to focus on capacity utilisation with a near-term focus on stabilisation, enabling sustainable infrastructure development, advancing environmental stewardship, and supporting India’s Net Zero 2050 ambition.

The GST reduction on cement from 28% to 18% during FY 2025-26 has strengthened affordability and accelerated customer preference for premium cement despite softer demand outlook. As cement remains central to nation-building, Ambuja is redefining quality and performance by innovation, improving its operational capabilities and focusing on sustainability across the value chain, ensuring every tonne contributes to the development of highways, ports, railways and industry.

A sharpened focus on premium cement and performance-led offerings, supported by strong R&D capabilities, remains central to the Company’s strategy. Sustainable innovations, resource-efficient circular material solutions and certified green products deliver superior strength, durability and reduced environmental footprint. This is reinforced by the Company’s combined expertise of over a century, encompassing deep material science and field-level experience across generations.

Ambuja is also advancing a digital transformation that embeds an AI-driven operational layer across manufacturing, logistics and business processes. Through CiNOC (Cement Intelligent Network Operations Centre), the Company applies predictive analytics, real-time insights and intelligent automation to enhance reliability, optimise energy use, reduce downtime and strengthen decision making, positioning Ambuja at the forefront of next generation cement manufacturing. This technology-led integration is supporting more efficient execution and improving operational visibility across the network.

Stakeholder engagement further strengthens execution. The Company has expanded its presence across priority industry platforms and deepened partnerships with bodies including CREDAI, BAI, NAREDCO and the Institute of Town Planning among others. On-ground programmes and brand activations continue to reinforce trust in product quality and service. Adani Cement FutureX now engages more than 750 institutions and over 1.3 million students, making it the sector’s largest industry–academia initiative.

This legacy and ecosystem underpin Ambuja’s robust technical services platform, which supports builders, contractors, architects and individual home builders (IHBs) with specialised low-carbon material solutions, on-site guidance and application support, enabling higher construction quality, greater durability and long-term value.

Major Developments on Sanghi and Penna Mergers

During the year, Sanghi Industries Limited (SIL) merged with Ambuja Cements Limited on March 12, 2026, followed by the merger of Penna Cement Industries Limited with Ambuja Cements Limited on April 10, 2026, completing a key phase in the consolidation of the cement business under a unified operating structure.

The amalgamation simplifies the cement portfolio into a single listed entity, enabling tighter operational integration and efficiency gains through scale, network optimisation and reduced structural overheads, while supporting unified planning, balance sheet consolidation, enhanced transparency and simplified compliance.

This milestone strengthens operating leverage and governance clarity, positioning the Company to pursue sustainable growth through short-term headwinds with greater agility and resilience, anchored in operational discipline, financial strength and ensure long-term value creation for stakeholders.

‘One Cement Platform’

Adani Cement is progressing its ‘One Cement Platform’ with the announcement of the amalgamation of ACC Limited and Orient Cement Limited with Ambuja Cements Limited, shaping a unified, pan- India building materials leader with global competitiveness. This strategic consolidation aims to build on the successful integration of Sanghi Industries Limited and Penna Cement Industries Limited, strengthening operational and financial synergies while simplifying the corporate structure. The unified entity is expected to benefit from a strong, debt-free balance sheet, direct shareholding in a stronger organisation and a stakeholdercentric approach. It will enhance scale, market leadership and ESG resilience, while unlocking efficiencies across manufacturing, logistics and capital deployment.

The streamlined platform will improve agility and support the Company's long-term growth vision through sustained operational discipline. By preserving established brands and embedding sustainability at the core, this transformative decision aims to reinforce longterm value creation, stronger shareholder participation and the development of a resilient, futureready organisation positioned for sustainable growth.
